Name and Organization
The Charity of Spartan300
Article II
Intent and Purpose
This corporation is organized and operated exclusively for charitable, religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501
(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code. The specific purpose of the organization is to provide financial support for families and individuals experiencing hardships caused by such events as a loss of a family member(s) or a debilitating illness through charitable, fundraising events. The aim of the charity is to bring the community together to raise and support the general welfare of the individual and/or family. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on (1) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code or (2) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code. No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of, or in opposition to, any candidate for public office. The Charity of Spartan300 consists of three or more members and donors joined by mutual
consent for the common, nonprofit purposes of educating and rendering assistance to men,
women and/or children in the Commonwealth of Virginia. All references to sections of the Internal Revenue Code shall include such sections as of the date hereof and the corresponding section of any future federal tax code. The office of The Charity of Spartan300 shall be located at the address at which the
Registered Agent has an official residence; or at such place as The Charity of Spartan300
may from time to time determine appropriate or as the business of The Charity of Spartan300 may
require. The registered office and mailing address of The Charity of Spartan300 is located at 5952 Amber Ridge Rd, Haymarket, Virginia 20169, which is located in Prince William County. The registered agent is Eileen Karegeannes, who is a resident of Virginia ad an initial director of the corporation. The above office, mailing address and registered agent is in effect at the time of inception of the Charity of Spartan300 until further notice.
2. The duration of The Charity of Spartan300 shall be perpetual.
3. The death, removal, or resignation of any member of the Charity of Spartan300 shall
not result in the dissolution of the Charity of Spartan300. Article IV
Structure and Membership
The Charity of Spartan300 consists of individuals and groups dedicated to the providing
financial support for families or individuals experiencing hardships caused by such events as a loss of a family member(s) or a debilitating illness through charitable, fundraising social events. Our aim is to bring the community together to raise and support the general welfare of the individual and family. Membership is open to anyone wishing to render support, guidance and encouragement to individuals and/or families needing assistance as determined by the Charity of Spartan300. The Charity of Spartan300 is a purely voluntary organization, and membership in the Charity
of Spartan300 becomes effective upon the payment of dues in an amount set by a quorum of
existing members of the organization. The Charity of Spartan300 does not require a membership
to support the organization in its structured efforts. A membership only allows an individual
to participate through the Charity of Spartan300 bylaws. The Charity of Spartan300 does not discriminate on the basis of race, color, sex, age,
religious affiliation, handicap, national origin, or other personal factor. Article V
Association Leadership
The Charity of Spartan300 shall be governed by at least three (3) officers to be determined by the
Board of Directors every two years. One person will be designated as The Charity of Spartan300’s registered agent in the Commonwealth of Virginia, as needed, following Commonwealth law requirements. Officers will be elected every two years by nomination and a majority vote of the board members. Board members will serve two year terms and will appoint there own successors if they choose to leave the board. The three elected officers are the President, the Secretary and the Treasurer. ARTICLE VI
Accounting and Records
The fiscal year of The Charity of Spartan300 shall be January 1 through December 31 of each
year. All minute books, correspondence, and other records of The Charity of Spartan300 shall be
preserved by the Officers. Records that have ceased to be of use for the conduct of the
affairs of The Charity of Spartan300 may be turned over for preservation to a depository
designated by it, or discarded. ARTICLE VII
Dissolution
Upon the dissolution of the organization, assets shall be distributed for one or more exempt purpose within the meaning of sections 501(c)3 of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the organization is then located, exclusively for such purpose or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purpose.
