Is a Special Power of Attorney (SPA) still valid if the principal is dead?

It depends.

What is a SPA or Special Power of Attorney?

A special power of attorney is a legal document that authorizes one person to act on behalf of another under specified circumstances.

As a general rule, the death of the principal extinguishes the agency created by the SPA. However, under Art. 1931 of the New Civil Code, anything done by the agent, without knowledge of the death of the principal or of any other cause which extinguishes the agency, is valid and shall be fully effective with respect to third persons who may have contracted with him in good faith.

As an example, in the sale of parcel of land, a SPA was issued by the owner to effect its sale. If the owner dies, the SPA will no longer be valid because of the owner's death. But if the agent did not know that the owner died before effecting the sale, the sale is valid.
