Agents — If you want fewer fires and more smooth closings, you need to master contingency timelines.

Contingencies protect your buyers — but if you miss the deadlines or skip written removals, it can cost them their deposit and cost you the deal.

Here’s your must-know guide to common contingencies, timelines, and tools to stay ahead:

Standard Contingencies & Timelines (per Section 14 of the RPA ):
- Inspection – 17 days
- Appraisal – 17 days
- Loan – 21 days
- Title Review – 5 days from receiving report
- Seller Disclosures (TDS, SPQ) – 5 days from delivery
- Natural Hazard / Statutory Disclosures – 5 days from receipt
- Lead-Based Paint (pre-1978) – 10 days for inspection

- HOA Docs – 3 days from receiving documents -Section 10D(2)
- Final Walkthrough (VP form) – ~5 days before closing - Section 16
- Sale of Buyer’s Property (COP form) – Timeline varies — must be managed diligently from day one

What Happens If You Miss a Deadline?

- Buyer risks losing their deposit
- Seller may issue Notice to Perform
- Deal can be canceled by the seller
- You (the agent) risk a client relationship breakdown — or worse

The CAR Forms You Need:

CR – Contingency Removal
EA – Extension of Time Addendum
RR – Request for Repairs
NOP – Notice to Perform
VP – Verification of Property Condition
COP – Contingency for Sale of Buyer’s Property

Always use DocuSign or an e-sign platform to get timestamped signatures and send to escrow ASAP.

Arbitration in Real Estate Contracts: What You Should Know

If you’re reviewing the California Association of Realtors Residential Purchase Agreement (CAR RPA), you’ll find the Arbitration of Disputes clause in Section 28, on page 14 of 17. This is one of the most important—and often misunderstood—parts of the contract.

It’s important to know that this section is completely optional — you do not have to agree to it.

What arbitration means:
Arbitration is a private process where disputes are decided by a neutral arbitrator instead of a judge or jury. If both the buyer and seller initial this section, you’re agreeing to resolve disputes outside of court. This also means giving up your right to sue in court, have a jury trial, or appeal an arbitrator’s decision.

Why many lawyers recommend caution:

1. There are usually no appeal rights, even if the arbitrator makes a legal mistake.

2. Arbitration doesn’t always follow the same legal or evidence rules as court.

3. The process is private and may lack transparency.

4. It can be costly, depending on the case.

Key takeaway:
You are not required to initial the arbitration clause. Take time to understand it before deciding, and consider discussing it with a lawyer for guidance.

Here’s What’s Changing — and Why It Matters

The Financial Crimes Enforcement Network (FinCEN) now requires certain real estate transactions to report beneficial ownership information. The goal? To stop illegal funds from being hidden in real estate.

This affects:
🏢 Entity Buyers – LLCs, corporations, partnerships, or trusts
💵 Non-Financed Purchases – no traditional FDIC-insured loan or mortgage
🏠 Residential & Mobile Home Sales – both are covered - as well as vacant land if the buyer intends to develop it into a single family residence!!!!

If your deal fits these categories, you’ll be required to complete new disclosure forms before closing.

🧾 The Forms You’ll See (And What They Mean)

1️⃣ FRR-PA – Financial Reporting Requirement

This is the CAR that is included in many RPA agreements - where both buyer and seller agree to provide the required FinCEN data.

2️⃣ RER Form 508C – Real Estate Reporting form

This form collects a minimum of 111 data points (yes, 111+). It identifies who’s behind an entity, who controls funds, and who ultimately benefits from the purchase.

3️⃣ RFF Form – Request for FinCEN Filing

This will be your “data-submission packet.” It’s how you officially provide ownership information, ID verification, and funding sources.

Data Collection Starts: December 1, 2024
Official FinCEN Reporting Begins: March 1, 2025

Failing to provide the required information within that timeframe could result in a breach of contract under the FRR-PA — and may delay or jeopardize your closing.

🤝 For Agents

This update is a must-share for your buyers and sellers. Here’s why:
1. Your entity or trust clients will need to plan ahead for ID and ownership documentation.
2. Your cash buyers may have to provide source-of-funds verification even when no lender is involved.
3. Your listing side may need to verify that buyers understand their FinCEN obligations before acceptance.

A quick heads-up now can prevent delays later — and protect you from compliance headaches.

FinCEN Reporting in California Real Estate

In 2026, real estate transactions involving entities or all-cash offers require compliance with FinCEN reporting to prevent money laundering. The FRR-PA (Financial Reporting Requirement Purchase Agreement) mandates buyers and sellers to provide comprehensive ownership and transaction details.

FinCEN reporting applies to entity buyers (e.g., LLCs, corporations), non-financed deals, and transactions triggering FRR-PA obligations. Required information must be submitted within seven days to avoid breaches of contract, which can lead to legal and financial penalties.

The RER Form 508C is crucial under FinCEN’s real estate rule, requiring at least 111 data points about ownership, funding, and controlling parties. This form is referenced in the FRR-PA, indicating your obligation to provide this information upon signing.

A FinCEN report may be requested during contract ex*****on, after title or escrow submission, or within seven days upon request. Non-compliance can breach the RPA terms.

FinCEN aims to prevent illicit funds in real estate, with tighter regulations anticipated in 2025 and 2026. Understanding these requirements is essential for protecting clients and ensuring smooth transactions.

For entity or non-financed purchases, ensure FRR-PA compliance, complete Form 508C accurately, and meet the seven-day deadline.
